The following clauses are a standard template and will be customized per project; the executed contract shall prevail.

1. Parties

Client (Party A): [Company Name]; Provider (Party B): Chengfeng Intl.

2. Scope and Objectives

  • Website build/optimization, SEO strategy and execution, analytics and monthly reporting;
  • Define ranking and organic traffic goals by industry and clarify exclusions;
  • Client obligations: content assets, timely approvals, and required account access.

3. Milestones and Deliverables

  1. 1T+1 week: Kickoff and requirements clarification;
  2. 2T+3 weeks: IA and page wireframes;
  3. 3T+6 weeks: First usable site with baseline SEO;
  4. 4T+12 weeks: Core keywords reach Google Top 10 (typical industries; not guaranteed for all contexts)

4. SLA and Response Times

  • P1Critical (P1): First response within 30 minutes, restore or provide workaround within 4 hours;
  • P2High (P2): First response within 2 hours, restore within 24 hours;
  • P3Normal (P3): First response within 12 hours, resolve within 3 business days;
  • SLAUptime target: 99.9% annualized for production.

5. Fees and Payment

  • $Milestone- or monthly-based billing; invoice type and tax per local law;
  • !Late payment: If overdue >10 calendar days, Provider may suspend services without being in breach;
  • Refund: If key contractual goals are not met, pro-rata refund up to a maximum of 80% of fees paid.

6. Confidentiality and Data Processing

  • 🔒Both parties shall keep trade secrets, personal data and technical materials confidential;
  • 📋Process data in compliance with GDPR/equivalent regulations, including cross-border transfers;
  • 🛡️Security: encrypted transport, access control, backups and audit logs.

7. Intellectual Property

Upon full payment, IP of deliverables (excluding third-party licensed components/assets) belongs to Client; Provider retains rights to methodologies and generic scripts.

8. Change Management

Any material scope/schedule/budget change requires a written change order with impact assessment and revised schedule.

10. Warranty

90天90-day warranty post go-live for defect fixes (excluding new features/scope changes).

11. Limitation of Liability

Unless otherwise mandated by law, Provider’s aggregate liability under this agreement is capped at fees actually paid by Client for the last three months, and excludes indirect/consequential damages.

12. Force Majeure

Neither party shall be liable for delays or failures due to force majeure events such as natural disasters, regulatory changes, or global network outages.

13. Term and Termination

  • 12Term: 12 months from signing, auto-renew unless either party gives 30 days written notice;
  • !Material breach not cured within 10 days entitles the non-breaching party to terminate;

14. Governing Law and Dispute Resolution

Governing law per Provider’s local jurisdiction; disputes resolved by negotiation first, failing which submitted to the competent court at Provider’s locale.

15. Notices and Contacts

Notices shall be sent to the addresses/emails specified in the contract; changes must be communicated in writing.

16. Execution and Effectiveness

Electronic signatures permitted; the agreement becomes effective upon stamping/signing by both parties. Scanned/electronic copies have the same legal effect as originals unless otherwise required by law.

Note: For third-party integrations or cross-border compliance, confirm appendices before signing (data residency, cookie/privacy policy, export compliance).
